What does an ASIC registered agent do?
ASIC describes a registered agent as a person or business appointed by a company to perform certain tasks on the company’s behalf. Once properly appointed, an agent can use ASIC’s registered agent portal to view company details and complete common lodgements for companies they represent.
In practice, an ongoing registered agent service may assist with:
receiving and monitoring ASIC correspondence for the company
Direct receipt and proactive monitoring of official ASIC annual statements, notices, and compliance alerts at our registered agent address.
helping review annual statements and identifying details that need updating
Systematic review of registered company records against internal documentation to identify changes required before annual invoice due dates.
lodging common company changes when the required information and approvals are available
Preparing and lodging statutory Form 484 and other ASIC updates once valid board decisions, director consents, and IDs are verified.
maintaining a clearer record of ASIC correspondence and completed lodgements
Centralising historical lodgement confirmations, ASIC transactions, and corporate documentation for seamless governance and audits.
coordinating corporate changes with accounting or tax records where relevant.
Ensuring corporate register updates align smoothly with business financial statements, tax schedules, payroll records, and ASIC registers.
A company can appoint a registered agent through ASIC’s prescribed process. ASIC currently uses Form 362 for appointing or ceasing a registered agent, signed by a company officeholder.
What happens to ASIC annual statements when a registered agent is appointed?
ASIC issues an annual statement to registered companies. Where a registered agent is appointed, ASIC places the registered agent address first in its stated order of priority for delivery of the annual statement. This can make annual review administration easier to centralise.
The annual review itself still involves company obligations. The annual review fee must be dealt with by its due date, the company details should be checked, and the directors need to address the solvency resolution requirements. A registered agent can support the administration, but directors remain responsible for their duties.

Preventing statutory late payment fees and penalties
Solvency Resolution

Registered agent support versus one-off ASIC lodgement services
A registered agent arrangement is useful when a company wants ongoing ASIC administration. If you only need to record a specific event, such as a change of address, appointment or cessation of an officeholder, or certain share changes, our company changes service may be the more direct option.
Ongoing Registered Agent Service
Registered agent support is an ongoing representation arrangement providing a consistent corporate contact, annual statement monitoring, and ongoing registry administration throughout the year.
- Permanent ASIC correspondence contact address
- Automated annual statement tracking & review alerts
- Coordinated accounting, tax, and ASIC compliance oversight
One-Off Company Changes (Form 484)
A company-change engagement can be limited to a particular filing when you only need to record a specific event without ongoing representation.
- Change of registered office or principal place of business
- Appointment or cessation of company directors & secretaries
- Share transfers, issues, and member register updates
For broader corporate compliance, explore our ASIC Compliance Services Hub.
“For broader corporate compliance support, including annual reviews and other routine filing matters, see our ASIC compliance services. The services can overlap operationally, but their intent is different: registered agent support is an ongoing representation arrangement, while a company-change engagement can be limited to a particular filing.”
Why use a registered agent for company administration?
Company directors often engage a registered agent because they want ASIC correspondence handled through a stable business process rather than a personal inbox or an address that may change. This can be particularly useful for groups with multiple companies, directors who are focused on day-to-day operations, or businesses that want accounting and ASIC records coordinated.
Stable Corporate Process
Handles ASIC correspondence through an established business workflow rather than personal email inboxes or addresses that may change.
Multi-Company & Group Governance
Ideal for groups with multiple entities or busy directors focused on day-to-day business operations requiring centralized tracking.
Accounting & Secretarial Coordination
Connects ASIC corporate filings directly with company financial records, tax planning, payroll, and statutory reporting.
A registered agent does not replace the board’s decision-making. The company still needs to make valid corporate decisions, maintain required records and provide accurate instructions. If a proposed transaction needs legal documents, shareholder approval or legal interpretation, separate legal advice may be required.
Company changes still need timely instructions
Using an agent does not extend ASIC deadlines. ASIC requires many common changes to company details to be notified within 28 days. Directors should therefore provide information promptly when an address, officeholder, member or share-related detail changes.
The 28-Day Notification Rule
ASIC imposes strict statutory late fees on filings submitted beyond 28 days from the effective event date. Appointing an agent ensures timely lodging, provided instructions are supplied without delay.
Mandatory ID Before Appointment
ASIC requires any new director to obtain a Director ID prior to formal appointment. Signed written consents must also be documented and safely stored in the company register.
For example, if a new director is being appointed, ASIC states that the person must apply for a director ID before appointment and the company must obtain and keep the required consent. The registered agent filing is one part of the process, not a substitute for the company’s underlying obligations.
What we may need to get started
To establish or take over registered agent administration, we may need the company’s ACN, current ASIC annual statement, corporate key or relevant access details, current officeholder and address information, and confirmation of any outstanding or recently completed changes. If another agent is currently appointed, the changeover also needs to be handled correctly.
Company ACN & Name
Australian Company Number and official registered company name.
ASIC Corporate Key
The 8-digit security key issued by ASIC for company record access.
Current ASIC Annual Statement
Latest annual statement showing current recorded officeholders and shareholdings.
Current Officeholder & Address Details
Up-to-date names, residential addresses, and registered office / business addresses.
Existing Agent Handover Details
Details of any currently appointed registered agent for a clean transition via Form 362.
Pending or Unlodged Changes
Confirmation of any recent director, address, or share changes not yet lodged with ASIC.
Record Reconciliation Note: Where the ASIC record does not match the company’s internal records, we may first need to identify and correct the differences before ongoing administration can operate cleanly.
