What company details can be changed with ASIC?
ASIC’s Form 484 process is used for several common company updates. Depending on the event, this can include:
registered office or principal place of business changes
Updating the registered office address or operational premises on the ASIC register, including occupier consent records where applicable.
appointment or cessation of directors and secretaries
Notifying ASIC when company officeholders join or resign, backed by prior Director ID verification and signed written consents.
changes to officeholder or member names
Updating legal names of existing directors, secretaries, or members following official changes, marriage, or deed poll documentation.
certain changes to the members register
Recording updates to proprietary company top 20 member details, address changes, or beneficial ownership changes on the ASIC record.
changes to share structure
Lodge notifications for new share issues, transfers between members, cancellations, or changes to total share capital and classes.
updates to ultimate holding company details
Recording changes when a company becomes controlled by an ultimate holding entity, changes holding company name, ACN, or country of origin.
changes to special purpose company status where applicable.
Notifying ASIC regarding eligibility changes for home unit, superannuation trustee, or charitable special purpose companies.
Not every company event is handled through Form 484. For example, changing a company name follows a different ASIC process. The correct lodgement should be identified from the actual event rather than assuming every corporate update uses the same form.
How long do you have to update company details with ASIC?
For many common Form 484 changes, ASIC requires lodgement within 28 days after the date of change. Late fees can apply where the relevant notification is lodged after the required period.
The effective date matters. It should reflect what actually happened and be supported by the company’s records. If an old change was never lodged, it may be necessary to reconcile minutes, consents, registers or other documents before submitting the update.
28-Day Notification Window
Strict deadline applies from the date the change legally took place.
Accurate Effective Date
Must record the true historical date rather than an arbitrary lodgement date.
Historical Reconciliation
Reconcile board minutes, member consents, and registers for unlodged updates.
ASIC applies substantial statutory late lodgement fees if notifications exceed the 28-day window ($93 if up to 1 month late, and $395 if more than 1 month late). Timely reporting protects your company from unnecessary penalties.
Key Categories of Company Detail Changes
Understand the statutory requirements, documentation, and compliance steps for officeholder changes, address updates, and share capital modifications.
Changing directors or company secretaries
When a director or secretary is appointed, resigns or retires, the company generally needs to notify ASIC within 28 days. ASIC also requires a new director to apply for a director ID before appointment, and companies must obtain and keep written consent before a person becomes a director or secretary.
The company’s constitution or rules may also govern how an appointment or cessation is made. Financially Up can assist with the ASIC administration, but legal questions about the validity of a corporate decision may require legal advice.
Changing addresses and contact details
Companies need to keep their registered office and principal place of business information current. Address changes are often straightforward, but the registered office has a specific corporate role and may not be the same place where the business actually operates.
If the company does not occupy the registered office, the occupier must give written consent to use the address and the company must keep a record of that consent. The details supplied to ASIC should match the company’s actual arrangements.
Share and member changes need more than a filing
Changes involving shares or shareholders can be more significant than a simple register update. Share issues, transfers, cancellations or ownership changes may affect the company’s internal share register and can also have tax, accounting, duty, commercial or legal consequences depending on the circumstances.
ASIC requires certain share changes to be reported within 28 days. However, an ASIC filing should not be used as a substitute for proper transaction documentation. Before lodging, the company should be clear about what transaction occurred, the date, the parties and the supporting corporate records.
If the change is part of a broader restructure or ownership review, it may also be appropriate to consider our business structure advice or another separately scoped tax service before the transaction is implemented.
How our ASIC Form 484 service works
The process normally begins by identifying the exact company event and checking the information held by ASIC against the company’s internal records. We then determine the applicable company update, request any missing details and prepare or lodge the relevant notification within the agreed scope.
Identify & Cross-Check
Identify the exact company event and compare information held by ASIC against the company’s internal records.
Determine Lodgement & Missing Details
Determine the applicable company update, request required supporting documents, consents, or resolutions.
Prepare & Submit Lodgement
Prepare and lodge the relevant ASIC notification within the agreed scope, providing confirmation records.
Where Financially Up is acting as the company’s ASIC registered agent, the ongoing administration can also be managed through the registered-agent workflow. For one-off changes, a separate registered-agent appointment may not be necessary.
What information may be required?
Depending on the change, we may request the latest annual statement, corporate key or portal information, current and proposed addresses, officeholder details, dates of appointment or cessation, director ID confirmation where relevant, member and share information, resolutions, consents and an updated share register.
For older or disputed changes, more information may be needed. If company records are incomplete, the first step may be to establish what can be supported before any date or ownership information is lodged with ASIC.
Company changes can affect tax and accounting records
An ASIC update does not automatically update the company’s accounting, payroll, ATO or contractual records. Depending on the event, related records may also need attention. A director change can affect authorities and payroll arrangements; a share change can affect ownership records; and a restructure can affect tax and accounting treatment.
Director Changes
Can impact banking authorities, legal contracts, ATO authorized contacts, and payroll sign-offs.
Shareholdings & Transfers
Alters statutory ownership registers, dividend distributions, CGT records, and Division 7A accounts.
Corporate Restructures
Demands integrated tax planning, stamp duty consideration, accounting balance adjustments, and ATO alignments.
Financially Up can coordinate the accounting and tax aspects where they fall within scope. For ongoing corporate administration beyond a single update, our ASIC compliance services page explains the broader support available.
