What does a share transfer ASIC update involve?
A share transfer occurs when existing shares move from one member to another. For a proprietary company, changes to shareholder details and holdings generally need to be reflected in the company's own register of members and notified to ASIC where required. ASIC states that a transfer of shares, or a change in beneficial ownership status, must be notified within 28 days.
The ASIC notification is only one part of the process. The company should also make sure its internal share register records the member details, date of the change, shares held and relevant beneficial ownership status. Depending on the company's constitution, shareholders agreement and circumstances, approvals or other legal documents may also be required. Financially Up does not provide legal advice as part of routine ASIC administration, so an appropriately qualified legal adviser may be needed where the legal effect of a transfer is in question.
Share transfer versus issuing new shares
A transfer moves existing shares between owners. A share issue creates and allocates new shares. The distinction matters because issuing shares changes the company's share capital and may affect the ownership percentages of existing shareholders.
Share Transfer
Moves existing shares between owners. Total company issued capital remains unchanged. Requires updated internal register of members, instrument of transfer, and ASIC notification within 28 days.
Issuing New Shares
Creates and allocates brand new shares. Increases total share capital and dilutes existing equity percentages. Directors must specify share class, number, issue date, and amount paid or agreed to be paid.
“ASIC requires companies to notify it about share issues within 28 days after the issue. The company must also record the issued shares in its member register. Before an issue shares ASIC update is made, directors should be clear about matters such as the number and class of shares, issue date, amount paid or agreed to be paid and the identity of the member receiving the shares.”
Common Share Change Scenarios
Transfer of existing shares between members
Reallocating existing shares from one shareholder to another, documented in the member register.
Issue of new ordinary or other classes of shares
Creating and allocating new share capital to existing or incoming investors.
Changes in beneficial ownership status
Recording whether shares are held beneficially or on trust for another party.
Changes to shareholder details or holdings
Updating registered names, residential addresses, or shareholding quantities.

Reconciling historical inconsistencies between the internal register and ASIC portal records.
When might you need an ASIC share transfer service?
Share changes commonly arise when a founder leaves, a new owner joins, family ownership changes, an investor is introduced, an existing shareholder increases or reduces their holding, or a company restructures its ownership. Some businesses also discover that older shareholder changes were recorded internally but not updated with ASIC, or that the company's share register is incomplete.
Founder Departure
A founding partner exits, transferring their shares back to company or co-founders.
Incoming Owner / Investor
New equity partner joins or an external investor injects expansion capital.
Family Succession
Transferring family enterprise ownership to the next generation or family trust.
Holding Adjustments
Existing shareholders increasing or diluting their proportional equity stake.
Corporate Restructure
Transferring shares into a holding company, unit trust, or bucket company entity.
Historical Discrepancies
Reconciling internal records where past changes were never formally lodged with ASIC.
If broader company details also need correction, our Company Changes service can help coordinate those updates. Where the issue is primarily the ongoing integrity of statutory records, see our Corporate Registers service.
Tax and transaction considerations before changing shares
An ASIC filing does not determine the tax outcome of a share transaction. A transfer or issue can have tax, accounting, valuation, duty or legal consequences depending on the facts. For example, a disposal of shares may have capital gains tax implications for the shareholder, while a share issue can affect ownership percentages and the company's equity records.
For that reason, it can be useful to seek advice before signing or implementing a significant ownership change rather than treating the ASIC update as the first step. Financially Up can assist with the accounting and tax aspects that fall within the agreed scope. Legal documentation, shareholder rights or transaction-specific legal advice may require a lawyer.
Pre-Transaction Advisory
Always review capital gains tax concessions (such as small business CGT concessions) or market valuation requirements before finalizing share transfers to avoid unexpected ATO liabilities.
What Financially Up can help with
Our share change support can be scoped around the transaction and the condition of the existing company records. Depending on the matter, assistance may include reviewing current ASIC details, checking the company's register of members, identifying the type of share change, preparing or lodging relevant ASIC updates, and bringing shareholder information into line with the completed transaction.
Where an ownership change is happening alongside a director appointment or cessation, our Director Changes service may also be relevant. The corporate and shareholder changes should be documented as separate events even when they occur as part of the same transaction.
Information we may ask you to provide
Useful records can include the current ASIC company extract or annual statement, existing share register, share certificates, prior share issue or transfer documents, board or member resolutions, company constitution, shareholder agreements and details of the incoming and outgoing shareholders. If the records are incomplete, we can first identify what can be established from the material available.

Frequently Asked Questions
Common questions about share transfer deadlines, share issue differences, legal validity, and reconstructing outdated share registers.
ASIC states that a company must notify it within 28 days of a transfer of shares or a change in beneficial ownership status. Late notification can result in late fees. The company's own share register should also be updated to reflect the completed change.
