What does company registration involve?
To register a company in Australia, the company is incorporated through the Australian Government's Business Registration Service or another permitted registration process, with ASIC processing the registration. Once registered, the company receives an Australian Company Number (ACN) and appears on the companies register.
A company is legally separate from its shareholders. That distinction matters for banking, contracts, taxation and access to company funds. Directors make decisions for the company and are responsible for meeting their legal duties.
Separate Legal Entity
Incorporating creates an entity that can hold assets, incur debt, enter legal contracts, sue and be sued. This distinct identity separates corporate liabilities from personal owner assets.
What information is needed before you register a company?
The exact information depends on the proposed company, but a typical proprietary company registration requires decisions about the company name, registered state or territory, registered office, principal place of business, officeholders, shareholders and share structure.
Company Name or ACN
Proposed company name, or whether the ACN will be used as the company name
Registered & Operating Addresses
Registered office and principal place of business addresses
Proposed Officeholders
Full details of proposed directors and any secretary
Director ID Obligations
Director identification number requirements
Shareholders & Share Structure
Shareholder details, share classes and the number of shares to be issued
Governance Rules
Whether the company will use replaceable rules, a constitution, or a combination where appropriate
Mandatory Written Consents & Director ID
ASIC requires a company to obtain and keep written and signed consent before a person becomes a director or secretary. Proposed directors must also apply for a director ID before appointment. The company must obtain written consent from each proposed member confirming the number and class of shares to be owned and the amount to be paid. These requirements should be addressed as part of the setup rather than treated as an afterthought.
Registering a Pty Ltd company
A proprietary limited company, commonly shown as 'Pty Ltd', is a common company type for privately owned businesses. ASIC's requirements apply to the company itself, its officeholders and members. At least one director of an Australian proprietary company must ordinarily live in Australia.
A company setup accountant can help make sure the information used for incorporation is consistent with the business's intended ownership and tax registrations. However, registration does not determine whether a company is commercially or legally the best structure for you.
Company name, business name and ACN are different
A company name identifies the registered company. An ACN is the unique number issued to a registered company. A business name is a separate registration used when an entity trades under a name other than its own legal name. Registering a company does not automatically mean every trading name is covered.
This distinction matters when you are preparing bank accounts, contracts, invoices, websites and tax registrations. Using consistent entity details from the outset can reduce administrative problems later.
Next Steps After Receiving Your ACN
Receiving your Certificate of Registration from ASIC creates the entity, but launching operations requires tax activations, accounting systems, and compliance frameworks.
What happens after company incorporation?
After company incorporation, the business may need additional registrations before or as it starts operating. A company registered with ASIC is entitled to an ABN, but the ABN is a separate identifier and application process. Financially Up can assist with ABN registration and review whether other registrations, such as GST or PAYG withholding, are relevant to the company's activities.
The company will also need appropriate accounting records and a clear process for recording payments to directors, shareholders and employees. Company funds belong to the company. Withdrawals or payments to owners need to be recorded according to their actual nature rather than treated as informal personal drawings.
Company registration and tax compliance are separate services
Company registration establishes the legal entity. It does not complete the company's ongoing tax obligations. A company generally has separate accounting and tax reporting responsibilities after it begins operating. Financially Up can assist with the registration stage and, where separately scoped, ongoing bookkeeping, tax compliance and company tax return preparation.
Likewise, company registration does not automatically include tax planning, shareholder agreements, legal documents or specialist structuring advice. Those matters should be addressed separately where relevant.
Common company setup issues
Registration errors can be inconvenient to correct, especially where the wrong people, addresses or share details are recorded. Common issues include unclear ownership, incorrect share allocations, missing director consent, inconsistent names across registrations, or registering a company before the owners have properly considered whether it is the right structure.
Frequent Setup Bottlenecks:
- Unclear ownership structures or unregistered shareholders
- Incorrect share allocations and confusing equity classes
- Missing or delayed written director consents and director IDs
- Inconsistent names and addresses across ASIC, ABN, and bank records
- Registering a company before evaluating whether it is commercially appropriate
A careful setup process focuses on getting the core facts correct first, then coordinating the tax registrations and accounting records around the registered company.
