What is a corporate trustee?
A corporate trustee is a company appointed to act as trustee of a trust. The trustee is responsible for administering the trust in accordance with the trust deed and relevant law. A trustee can be an individual or a company, so a corporate trustee is one possible trustee arrangement rather than a separate type of trust.
This distinction matters when people search for a corporate trustee for family trust arrangements. A discretionary trust is often described in everyday language as a family trust, but the company acting as trustee remains a separate legal entity. A family trust election is also a separate tax concept and is not created merely because a trust uses a corporate trustee.
Company as Trustee
Using a Pty Ltd company as trustee provides continuity of ownership, insulates individual family members from personal trustee liability, and simplifies long-term succession without requiring asset transfers upon individual death.
Who may consider a corporate trustee setup?
A corporate trustee may be considered when establishing a new trust or when reviewing how an existing trust is administered. It is commonly relevant to family groups, property or investment structures, business owners and other arrangements where a trust is part of the ownership or operating structure.
Family Wealth Groups
Family groups establishing discretionary trusts for intergenerational wealth planning.
Property & Investment Structures
Entities acquiring property or shares requiring clear, long-term legal ownership.
Business Operators
Trading trusts operating commercial businesses where personal liability insulation is vital.
Existing Trust Reviews
Established trusts transitioning from individual human trustees to a corporate entity.
What does corporate trustee company setup involve?
A corporate trustee company setup usually begins with confirming that a company is appropriate for the proposed trustee role. If a new company is required, it must be registered with ASIC. The proposed directors must understand their company-law responsibilities, and people who are required to have a director identification number must apply for their own director ID.
The trust itself is then established or reviewed under its trust deed. A trust is not registered with ASIC as a company, although a company acting as trustee is registered on the companies register. If the trust carries on an enterprise, it may be entitled to an ABN, and a trust should generally have its own TFN for its tax affairs. These registrations are made by the trustee in its capacity as trustee and are separate from any registration the trustee company may need in its own right.
If you also need the company itself established, see our Company Registration service.
If the broader question is whether a company trustee fits the intended ownership and operating structure, our Business Structure Advice page explains the factors that may need to be reviewed before setup.
Dual Registration Structure:
Key considerations before you establish a corporate trustee in Australia
Carefully evaluating legal deed mechanisms, voting rights, and ASIC regulatory compliance ensures the structure fulfills its commercial and asset-protection objectives.
The trust deed and trustee powers
The trust deed is a core legal document. It sets out how the trust operates, who can benefit, how the trustee can exercise powers and how changes to the trustee may be handled. Financially Up can consider the accounting and tax implications of the proposed structure, but legal drafting or interpretation may require a lawyer.
Directors, shareholders and control
The directors control the company’s decisions as trustee, while shareholders own the company. Those roles should be considered carefully because changes in directors or share ownership can affect practical control of the corporate trustee. Company officeholders also have ongoing obligations under the Corporations Act, in addition to responsibilities arising from the trustee role.
Administration and ongoing costs
A corporate trustee adds company administration. The company must keep its details and records current and deal with ASIC annual review requirements. The trust also has its own accounting, tax and record-keeping needs. The additional administration should be weighed against the reasons for using a corporate trustee.
What Financially Up can help with
Financially Up can support the accounting and tax side of establishing a corporate trustee arrangement, with scope agreed to your circumstances.
- Confirming the intended accounting and tax setup before registrations are completed.
- Assisting with registration of a new proprietary company where required.
- Helping coordinate ABN, TFN and relevant tax registrations for the trust where applicable.
- Setting up accounting records so the trustee capacity and trust transactions are clearly identified.
- Reviewing how the proposed structure interacts with existing business or investment entities.
- Working with your legal adviser where the trust deed or other legal documentation needs to be prepared or reviewed.
- Identifying ongoing accounting and tax-return requirements after setup.
Where the trust will lodge annual trust tax returns, our Trust Tax Returns service covers the separate annual preparation and lodgement work. Corporate trustee setup is the establishment and structure work; it is not a substitute for ongoing trust accounting and tax compliance.
Information we may need
The information required depends on whether the trust already exists and whether the trustee company is new. Common items include:
- Proposed or existing trust deed and any formal amendments
- Proposed company name and registered office details
- Details of proposed directors and shareholders
- Director IDs where required for the relevant appointments
- Existing ABN, TFN and tax-registration details if the trust already operates
- Details of the business, investments or assets the trust is expected to hold
- Current accounting records where an existing trustee arrangement is being changed
