What is involved in partnership registration in Australia?
An ordinary business partnership is not generally registered with ASIC as a company. Instead, the partnership is established through the relationship between the partners and the relevant state or territory partnership law, while separate registrations are completed for tax and business purposes. Limited partnerships and incorporated limited partnerships can have additional state or territory registration requirements.
For a typical partnership business setup, the partnership generally needs its own ABN and tax file number. It may also need GST registration, PAYG withholding registration or other registrations depending on its activities, turnover and whether it employs staff. If it trades under a name other than the partners’ legal names, the business name will usually need to be registered.
State Law & Dedicated Tax IDs
Unlike incorporated entities, standard partnerships operate under state Partnership Acts. They require their own distinct tax identity (ABN and TFN) to lodge collective annual returns with the ATO.
Partnership structure advice before you register
Before you register a partnership in Australia, confirm that partnership is actually the right structure. Partnerships can be relatively straightforward to establish, but partners generally share responsibility for business decisions and, in a general partnership, can have personal exposure to partnership debts and obligations.
Our business structure advice service can help compare a partnership with a sole trader, company or trust arrangement before registrations are put in place.
If a company structure is chosen instead, our company registration service covers the company setup stage.
ABN, TFN and other registrations
A partnership usually requires its own ABN and TFN. The ABN identifies the partnership for business and tax registrations; it is not the personal ABN of an individual partner. Depending on the circumstances, the partnership may also need registrations for GST, PAYG withholding or other taxes and obligations.
When an existing business changes into a partnership, or partners enter or leave, the ABN position can depend on the circumstances. A change should be reviewed before assuming an existing ABN can simply continue unchanged.
Do you need a partnership agreement?
A written partnership agreement is not simply an accounting document, but it can be an important part of a well-managed partnership. It can set expectations about ownership, contributions, roles, profit and loss sharing, decisions, admission or exit of partners, dispute processes and what happens if the partnership ends.
How is partnership income taxed?
A partnership generally lodges an annual partnership tax return that reports the partnership’s income, deductions and the allocation of the net result between partners. The partnership itself generally does not pay income tax on that net income in the way a company does. Instead, each partner includes their share of the partnership’s net income in their own tax position, subject to the applicable tax rules.
This annual tax-return obligation is separate from partnership setup. Our partnership tax returns service focuses on preparing and lodging the ongoing partnership tax return after the structure is operating.
Accounting setup for a new partnership
Solid accounting practices keep partner equity, capital contributions, and personal drawings clearly documented from day one.
Open a bank account appropriate for the partnership and keep business transactions separate from personal transactions.
Set up accounting software and an appropriate chart of accounts.
Record partner capital introduced, drawings and partner-related transactions clearly.
Establish processes for sales, purchases, expenses and supporting documents.
Confirm GST coding and BAS processes if the partnership is registered for GST.
Create a regular bookkeeping and reconciliation process.
Keep records that support tax, GST, payroll and financial reporting obligations.
What Financially Up can help with
As a partnership accountant in Australia, Financially Up can assist with the tax and accounting side of setup, including structure review, ABN and TFN applications, business name registration where needed, GST and PAYG registrations where relevant, accounting-system setup and the transition into ongoing bookkeeping and tax compliance.
The exact scope depends on the partnership and what is already in place. We can also identify when legal, licensing or industry-specific advice needs to sit alongside the accounting work.
