What Is a Property Ownership Structure?
A property ownership structure identifies who legally holds title to the real estate and, where separate, who holds the beneficial interest. Each option carries distinct tax, legal, and operational consequences.
Individual Ownership
Held in a single person's legal name. Income and deductions flow directly onto their individual tax return at marginal tax rates, eligible for the 50% CGT discount after 12 months.
Co-Ownership (Joint / Tenants in Common)
Held jointly or with fixed percentage shares. Rental profits, losses, and CGT obligations strictly follow registered title percentages rather than who pays the mortgage.
Trust Ownership (Discretionary / Unit)
Held by a corporate or individual trustee on trust for beneficiaries. Provides distribution flexibility and asset protection, but losses are quarantined within the trust.
Company Ownership
Held by an incorporated entity. Flat company tax rate (25% or 30%) with capped exposure, but forfeits the general 50% CGT discount on capital growth.
There is no universally best structure. An arrangement that suits a long-term residential rental may be entirely unsuitable for a commercial development project or premises used by an operating family business. Intended use, funding, and exit strategy must be analyzed before committing.
Owning Property Personally or with Another Person
Individual and co-ownership are the most common investment vehicles in Australia, but getting the title percentages right at contract signing is vital.
Individual Sole Ownership
Simplicity and accessibility. Rental income and all deductible property outgoings flow directly to the individual owner's tax return. Individual owners qualify for the general 50% CGT discount after holding the property for at least 12 months.
Strict Legal Interest Apportionment
For co-owned property, rental income and deductions strictly mirror each owner's legal title percentage. An informal agreement where the higher-earning partner pays the mortgage or takes all deductions is rejected by the ATO unless legal title reflects it.
Tenants in Common vs. Joint Tenants
Tenants in common can own unequal shares (e.g. 99%/1% or 70%/30%) and bequeath their share via their Will. Joint tenants own equal, indivisible shares with automatic survivorship rights upon death.
Solicitor & Legal Document Alignment
We examine title documents, proposed ownership percentages, mortgage loan terms, and intended usage. A solicitor advises on legal ownership forms, co-ownership deeds, and partner rights.
Could a Trust Own the Property?
A trustee can acquire real estate for a family discretionary trust or unit trust, offering asset protection and distribution flexibility, but requiring strict governance.
Strategic Trust Advantages
- Distribution Flexibility: Annual net rental income can be streamed to family beneficiaries in lower marginal tax brackets in accordance with the trust deed.
- 50% CGT Discount Pass-Through: Eligible trusts can flow capital gains through to individual beneficiaries, preserving the statutory 50% CGT discount.
- Asset Protection & Succession: Property held in a trust is legally separate from personal bankruptcy risks, enabling multi-generational wealth preservation without transfer stamp duty.
Key Trust Constraints & Pitfalls
- Quarantined Rental Losses: If a trust property is negatively geared, the tax loss CANNOT be distributed to beneficiaries to offset their salary. Losses are trapped inside the trust until future profits arise.
- Higher State Land Tax: In many Australian states (e.g. NSW, VIC), trusts receive zero land tax threshold or are subject to significant trust land tax surcharges.
- Annual Compliance Costs: Requires separate accounting books, trust tax return lodgement, annual distribution minutes, and ASIC corporate trustee fees.
When Might a Company Be Considered?
A corporate entity can be ideal for property development or active commercial projects where profits will be retained, but is often unsuitable for passive long-term capital growth.
Corporate Tax Rates vs. CGT Discount Forfeiture
Companies benefit from a flat corporate tax rate (25% for base rate entities, 30% for general companies), making them effective vehicles for property trading, construction, or active property development where profits are retained for reinvestment into future projects.
However, a company-versus-trust analysis must look past headline tax rates. Withdrawing profits to shareholders triggers top-up personal tax via unfranked dividends or requires compliant Division 7A loan agreements.
Ideal for Active Trading & Development
Development profits taxed at the 25% corporate tax rate instead of individual marginal tax rates up to 47%.
NO General 50% CGT Discount
Companies are legally barred from claiming the 50% capital gains tax discount. Every dollar of long-term capital gain is taxed in full.
Division 7A Compliance Burden
Loans, advances, or private property use by shareholders or associates require formal loan agreements and minimum benchmark interest repayments.
Review State Taxes and the Cost of Changing Ownership
State duties and annual land taxes can significantly alter the net return of a property investment. Structuring must be decided before the contract of sale is signed.
State Stamp Duty (Transfer Duty)
Stamp duty varies dramatically across states (NSW, VIC, QLD, WA, SA, TAS, ACT, NT). Buying through the wrong entity name and later correcting title can result in double stamp duty if not structured properly at the time of contract execution.
Land Tax Thresholds & Surcharges
Individual owners generally receive generous state land tax thresholds. Discretionary trusts in many states (such as NSW and Victoria) receive zero tax-free thresholds or face punitive trust surcharges, creating recurring annual cash flow burdens.
The Transfer Trap: CGT & Duty Triggers
Transferring an existing property you already own into a company or trust is not an administrative bookkeeping entry. It is a legal disposal triggering immediate capital gains tax and ad valorem stamp duty based on market value, even with no cash changing hands.
